Terms & Conditions of Trade — ETERA Group Ltd

1. Terms of Trade
These terms and conditions apply to every supply of Goods and Services made by ETERA Group Ltd to the Customer. By placing an Order with ETERA Group Ltd, the Customer agrees to be bound by these Terms of Trade and that the Customer's own terms and conditions do not apply.
2. Definitions
"Credit Account" means the account for purchasing goods on credit held by the Customer with ETERA Group Ltd. "Customer" means the person or entity who purchases Goods or Services, including employees, contractors and agents. "Goods" means goods provided by ETERA Group Ltd as set out in an Order or Quote. "Guarantor" means any individual providing a personal guarantee as specified herein. "PPSA" means the Personal Property Securities Act 1999.
3. Orders and Quotes
All Quotes are based on rates in effect at the date of the Quote. Quotes are valid for 30 days unless otherwise specified. ETERA Group Ltd may decline any Order in its sole discretion. Orders submitted through ETERA Group Ltd's website are subject to acceptance by ETERA Group Ltd and may be cancelled if pricing, stock or technical errors occur.
4. Price
The price of Goods and Services shall be as agreed between ETERA Group Ltd and the Customer. Unless otherwise stated, prices do not include GST, other taxes, transport or insurance charges.
5. Payment Terms
Credit account payment terms are strictly the 20th of the month following invoice, with no exceptions. If any item is disputed, the Customer shall notify ETERA Group Ltd in writing prior to the last business day of the month in which the invoice is submitted, specifying the item in dispute. Payment of the undisputed portion remains due on the standard payment date. Interest may be charged on overdue accounts at ETERA Group Ltd's cost of borrowing plus 5% per annum from the due date until payment in full. The Customer shall indemnify ETERA Group Ltd for all costs and expenses incurred in recovering any overdue amount, including legal fees, debt collection fees and enforcement costs on a solicitor-client basis. ETERA Group Ltd reserves the right to suspend supply and withdraw discounts if payment terms are not strictly adhered to.
6. Credit Limit
ETERA Group Ltd may establish, vary, reduce, suspend or cancel any credit limit at any time without notice. ETERA Group Ltd may require the Customer to provide additional security or guarantees at any time as a condition of maintaining or extending credit.
7. Security Interest
The Customer grants to ETERA Group Ltd a security interest in the Goods as security for all amounts owing. Title remains with ETERA Group Ltd until all amounts are paid in full. The Customer agrees to execute all documents required to maintain and register this security interest under the PPSA. The Customer grants the Supplier a security interest in all present and after-acquired personal property supplied by the Supplier and all proceeds arising from such property for the purposes of the Personal Property Securities Act 1999 (PPSA). The Customer agrees that the Supplier may register a financing statement on the Personal Property Securities Register (PPSR) to protect its security interest.
8. Guarantee and Indemnity
The Guarantor(s) jointly and severally unconditionally guarantee the due and punctual payment by the Customer of all outstanding monies. This guarantee is irrevocable and remains in full force until all obligations are satisfied. ETERA Group Ltd may, amongst other recovery rights, take a charge over any Real Property. The Guarantor agrees to execute all documents necessary to register and maintain such charge.
9. Limitation of Liability
ETERA Group Ltd's liability is limited to the lesser of: (a) replacement or repair of affected Goods; (b) actual cost of replacement; or (c) the price of the affected Goods. ETERA Group Ltd shall not be liable for indirect or consequential loss. ETERA Group Ltd shall not be liable for delays caused by events beyond its reasonable control including supply shortages, transport disruptions, labour shortages, natural disasters, acts of government or force majeure events.
10. Risk, Delivery and Claims
Risk in the Goods passes to the Customer upon delivery. Claims for short delivery must be made within 48 hours of delivery. Claims relating to visible defects or damage must also be notified within 48 hours of delivery. If the Customer refuses delivery, the Customer shall make full payment including all disposal costs.
11. Defects
ETERA Group Ltd is not liable for any defects caused as a result of the Customer's use or installation of Goods, the design of the structure into which Goods are placed, incorporation of materials supplied by the Customer, damage to the Goods after delivery, or failure to maintain the Goods properly after delivery. The Customer must promptly notify ETERA Group Ltd of any defect and provide reasonable opportunity to rectify before any third-party rectification work is undertaken.
12. Returns and Cancellations
ETERA Group Ltd is under no obligation to accept cancellation or return without prior written agreement. Returned Goods must be in original condition and packaging within 48 hours of delivery.
13. Consumer Guarantees Act 1993
Where Goods or Services are being supplied for the purposes of a business, the Customer agrees that the Consumer Guarantees Act 1993 will not apply.
14. Privacy and Identity Verification
The Customer authorises ETERA Group Ltd to collect, retain and use personal information for: (a) assessing creditworthiness; (b) administering Orders; (c) obtaining information from credit reference agencies; (d) disclosing credit-related information to credit reference agencies on a continuing basis. The Customer further authorises ETERA Group Ltd to collect and verify identity documents, proof of address, trade references and other information reasonably required for credit assessment and account verification purposes.
15. Confidentiality
Except as required by law, both parties shall preserve as confidential any information of a confidential nature acquired in relation to the other party.
16. Disputes
The parties agree to promptly resolve any dispute. Senior management shall meet within 10 working days of a dispute notice. If unresolved after 20 working days, either party may take such legal action as deemed appropriate.
17. Termination
All outstanding monies become immediately due and ETERA Group Ltd may cancel any Order and/or the Credit Account if the Customer: (a) ceases business; (b) becomes insolvent; (c) has a receiver appointed; or (d) breaches these Terms and fails to remedy within 10 days of written notice.
18. Jurisdiction
These Terms are governed by the laws of New Zealand. The parties submit to the exclusive jurisdiction of the New Zealand courts.

I, the undersigned, confirm that I have read and understood the ETERA Group Ltd Terms & Conditions of Trade above, and agree to be bound by them. I confirm I am authorised to act on behalf of the applicant entity and that all information provided is true and correct.
Personal Guarantee & Indemnity Acknowledgement
By signing below as Guarantor(s), I/we certify that I/We understand the terms of this Guarantee. In particular, I/we understand that if the Customer fails to make any required payments to the Supplier, the Supplier may recover the amount of these payments from me/us personally. In such case, the Supplier may, amongst other recovery rights, take a charge over any Real Property.
I/We certify that I/We have had the opportunity of taking independent legal advice in relation to the meaning and effect of this Guarantee.
All Directors, Sole Traders, Business Partners and any other Guarantors must complete and sign below.
